Associate General Counsel

Position Summary

The Associate General Counsel will support the General Counsel in Crow Holdings’ multiple businesses in a myriad of activities related to general corporate matters, private equity fund formations, investment management firm and RIA matters, contract review and negotiation, and real estate joint venture formation, negotiations and financings.

Primary Responsibilites

  • Assist with new product development, fund formation, negotiation of documents and side letters
  • Assist with foreign marketing oversight, registration and ongoing compliance filings in partnership with Chief Compliance Officer
  • Collaborate with Chief Compliance Officers to monitor and ensure segregation of operating businesses
  • Work with Chief Compliance Officers on ADV and other regulatory filings/updates for RIA
  • Provide legal counsel and assist investor services groups on interpretation and application of fund and joint venture documents and in other various matters
  • Assist with review of new marketing materials or when regulatory matters arise
  • Work with outside counsel on various real estate joint venture negotiations and financings
  • Assist with due diligence processes and approvals within the development companies
  • Partner with Chief Compliance Officer and other group leaders to monitor, update and develop policies
  • Conduct research, review, analysis, drafting, and approval of various documents, contracts, policies, procedures and obligations to which the company is or may become a party

Desired Skills & Experience

  • J.D. degree from an accredited Law School and 7+ years’ transactional experience with a major law firm
  • Significant experience with the Investment Advisers Act. Regulatory experience with the Securities Act of 1933, the Securities Exchange Act of 1934, and applicable FINRA rules helpful
  • Must have meaningful Fund formation and Joint Venture structuring/negotiation experience; litigation experience is not relevant for this role
  • Familiarity with day-to-day operations of investment advisers and related service providers helpful
  • Must be able to write effectively and present research, analysis and conclusions in a persuasive manner, and build relationships with professionals at all levels of the organization
